Terms of Use for Capso – Real Short Audios

1. Acceptance of These Terms

By downloading, installing, or using Capso (the “App”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree, please do not use or access the App. We may modify these Terms at any time; changes become effective when posted. Your continued use after posting indicates acceptance of the updated Terms.

2. Description of the App

Capso offers short audio clips covering a broad and ever-expanding array of topics—ranging from business, entrepreneurship, and investment to personal development, social issues, entertainment, lifestyle, health, culture, technology, and more. All content is provided in English (with future support for additional languages as the App evolves). We reserve the right to modify, suspend, or discontinue any part of the App without notice.

3. Eligibility & User Accounts

3.1 Eligibility to Use App (Listening-only)

This App’s core audio content is suitable for users aged 9 and above for listening without registration.

3.2 Eligibility to Register an Account or Provide Personal Information

• To register a Capso account, save preferences, or use personalized recommendations, users must be at least 13 years old (or older if required by local law).
• Users under 13 may listen to public audio without submitting any personally identifiable information. If under 13 and you wish to register or submit data, parental or guardian consent is required.
• If you suspect unauthorized use of your account, contact us immediately at support@capsoapp.com.

4. License & Restrictions

4.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the App on a compatible device for personal, non-commercial purposes.

4.2 Restrictions

You agree not to:

• Reverse engineer, decompile, or attempt to derive the source code of the App.
• Copy, modify, distribute, rent, lease, sell, or transfer the App or any content except as expressly permitted herein.
• Use any automated means (e.g., bots, scrapers) to access or use the App.
• Interfere with or disrupt the App’s servers or networks, or violate any requirements, procedures, or policies of networks connected to the App.
• Circumvent or disable any security or digital rights management mechanisms.

5. User-Generated Content (If Applicable)

5.1 Your Rights & Responsibilities

• You retain all ownership rights to your User Content. By submitting, you grant Capso a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, adapt, publish, and distribute such content for any purpose (e.g., promoting the App).
• You represent that you own or have the necessary rights to publish your User Content and that it does not infringe on any third-party rights.

5.2 Prohibited Content

Do not submit User Content that is:

• Defamatory, obscene, pornographic, or otherwise unlawful.
• Harassing, hateful, or discriminatory toward any individual or group.
• Spam, advertising, or unauthorized promotion of products or services.

Capso reserves the right to remove or refuse any User Content at its discretion.

6. Intellectual Property

6.1 Our Content & Trademarks

All Capso-branded materials—names, logos, audio clips, graphics, and text—are owned by or licensed to Capso. You may not use our trademarks without prior written permission.

6.2 Feedback

If you send us suggestions or feedback (“Feedback”), you agree that Capso may use and incorporate your Feedback without obligation or compensation to you.

7. Paid Features & Subscriptions (If Applicable)

7.1 Billing & Cancellation

• Paid Features are billed through your App Store account. You must abide by the App Store’s purchase, refund, and billing policies.
• Cancellations must be made through your device’s App Store or subscription settings. No refunds except as required by law.

7.2 Price Changes

We reserve the right to change subscription pricing or introduce new fees for Paid Features. We will provide advance notice before implementing significant price changes.

8. Prohibited Conduct

By using the App, you agree not to:

• Upload viruses, malware, or malicious code.
• Harvest or collect personal information of other users without consent.
• Interfere with other users’ enjoyment of the App.
• Use the App in any way that violates applicable law or these Terms.

9. Termination & Suspension

We may, without notice, suspend or terminate your access to the App if you violate these Terms or for any other reason. Upon termination:

• All licenses granted to you cease immediately.
• You must stop using the App and destroy any copies.
• Sections that by their nature should survive termination (e.g., Intellectual Property, Disclaimers, Limitation of Liability, Governing Law) remain in force.

10. Disclaimers & No Warranties

10.1 “As-Is”

Capso and its content are provided “as-is” and “as-available,” without warranties of any kind—express or implied.

10.2 No Professional Advice

Audio clips in Capso cover a broad array of topics for informational purposes only. They are not a substitute for professional advice (e.g., financial, legal, medical). Always consult a qualified professional before making decisions based on App content.

11. Limitation of Liability

To the fullest extent permitted by law, Capso and its affiliates, officers, employees, or agents will not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages arising from your use of (or inability to use) the App.
• Any loss of profits, data, goodwill, or other intangible losses.
• Even if Capso has been advised of the possibility of such damages.

In jurisdictions that do not allow limitations on implied warranties or liability, some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Capso and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your breach of these Terms.
• Your User Content.
• Your use of the App in violation of applicable law.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, USA, without respect to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the App will be resolved exclusively in the state or federal courts located in San Francisco County, California. You consent to personal jurisdiction in those courts.

14. Changes to These Terms

We may update these Terms from time to time. We will post the revised version with a new “Last Updated” date. Your continued use of the App after changes are posted constitutes acceptance of the updated Terms. If a revision is material, we will provide at least 30 days’ notice (e.g., via email or an in-App notice).

15. Miscellaneous

15.1 Entire Agreement

These Terms (together with our Privacy Policy) constitute the entire agreement between you and Capso regarding the App and supersede any prior agreements.

15.2 Severability

If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any right under these Terms does not constitute a waiver of that right.
